TERMS & CONDITIONS

Protocol v1.0 — Digital Access Licence

1. Parties & Definitions

These Terms & Conditions ("Agreement") are entered into between:

 

SomaLabs ("SomaLabs", "we", "us", "our") — the owner and operator of the SomaLabs clinical performance platform, Protocol v1.0, and all associated digital products and intellectual property.

You ("User", "Client", "you") — any individual or entity who purchases, accesses, or uses any SomaLabs product, service, or digital module.

1.1 Key Definitions

"Protocol v1.0" — the proprietary 7-day neural recalibration system comprising three phases (The Discharge, The Re-Wire, The Stabilization), delivered as a suite of digital modules.

"Base-44 Secure Key" — a unique, single-use proprietary access code issued to you upon purchase, used to unlock SomaLabs clinical modules.

"Digital Modules" — all audio protocols, video sessions, written frameworks, and supplementary materials comprising Protocol v1.0.

"Bio-Acoustic Recalibration Audio" — proprietary 44-layer audio protocols engineered from neuro-regulation data and delivered via encrypted module synchronisation.

"Encrypted Module Synchronisation" — the secure delivery infrastructure through which SomaLabs digital modules are accessed using your Base-44 Secure Key.

2. Nature of Product — Educational & Performance Use Only

 

By accessing SomaLabs products you expressly acknowledge and agree that:

•       SomaLabs does not diagnose, treat, cure, or prevent any medical or psychological condition.

•       Protocol v1.0 is not a substitute for professional medical, psychological, or psychiatric advice, diagnosis, or treatment.

•       You should always seek the advice of a qualified healthcare professional before beginning any new health, wellness, or performance programme.

•       SomaLabs protocols are grounded in publicly available neuroscientific research interpreted for educational and performance purposes — they do not constitute clinical medical practice.

•       Results vary between individuals. No specific outcome, improvement, or measurable change is guaranteed.

 

3. Licence & Access Rights

3.1 Grant of Licence

Upon successful payment and issuance of your Base-44 Secure Key, SomaLabs grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Protocol v1.0 for your own personal, non-commercial purposes only.

3.2 Scope of Licence

Your licence permits you to:

•       Access and engage with all digital modules included in Protocol v1.0 using your Base-44 Secure Key.

•       Stream or download audio and video modules for personal use on your own devices.

•       Use the SomaLabs Neural Regulation Map and written frameworks for your personal practice.

 

Your licence does not permit you to:

•       Share, transfer, resell, sublicence, or distribute your Base-44 Secure Key to any third party.

•       Copy, reproduce, or redistribute any SomaLabs digital content in any form.

•       Use SomaLabs content for commercial purposes, group facilitation, teaching, or coaching without prior written consent from SomaLabs.

•       Reverse-engineer, decompile, or attempt to extract the proprietary frequency layers from Bio-Acoustic Recalibration audio files.

•       Remove, alter, or obscure any copyright, trademark, or proprietary notices.

 

3.3 Base-44 Secure Key

Your Base-44 Secure Key is a single-use, personal access credential. It is issued exclusively to the purchaser and is non-transferable. SomaLabs reserves the right to revoke access without refund if a key is shared, misused, or found to be in use by more than one individual or device simultaneously.

4. Purchase, Payment & Pricing

4.1 Pricing

All prices are stated in Euros (EUR) and are inclusive of any applicable VAT or taxes unless otherwise stated. SomaLabs reserves the right to change prices at any time without prior notice. The price displayed at the time of your purchase is the price you will be charged.

4.2 Payment Processing

Payments are processed securely through Shopify Payments and third-party payment processors. SomaLabs does not store your full payment card details. By completing a purchase, you confirm that you are authorised to use the payment method provided.

4.3 Currency & International Purchases

If you purchase from outside the Eurozone, your bank or payment provider may apply currency conversion fees or charges. SomaLabs is not responsible for any such additional charges.

5. Refund & Cancellation Policy

 

We do not offer refunds in the following circumstances:

•       Your Base-44 Secure Key has been issued (regardless of whether modules have been accessed).

•       You have accessed one or more digital modules.

•       You change your mind after purchase.

•       You experience technical difficulties caused by your own device, internet connection, or software.

 

Exceptions may be considered at SomaLabs' sole discretion in the following circumstances:

•       Your Base-44 Secure Key was not delivered due to a verified technical fault on SomaLabs' systems.

•       You were charged more than once for the same purchase due to a payment processing error.

 

To request an exception, contact us at support@somalabs.com within 48 hours of purchase with your order confirmation number and a clear description of the issue.

" By purchasing Protocols you agree to our terms. Digital products are non-refundable once access keys have been issued. Protocols are for educational and performance purposes only."

6. Intellectual Property

All content, materials, systems, audio protocols, frameworks, and intellectual property comprising SomaLabs products — including but not limited to Protocol v1.0, the Base-44 Secure Key system, Bio-Acoustic Recalibration audio, the SomaLabs Neural Regulation Map, and all written materials — are the exclusive property of SomaLabs and are protected by copyright, trademark, and other applicable intellectual property laws.

 

Nothing in these Terms transfers any ownership of intellectual property to you. Your licence to access and use SomaLabs content does not constitute a transfer of ownership.

 

Unauthorised reproduction, distribution, public performance, or commercial use of SomaLabs intellectual property without prior written consent is strictly prohibited and may result in legal action.

 

7. Medical Disclaimer & Health Warning

 

You should NOT use SomaLabs products if you:

•       Have been diagnosed with a serious psychiatric condition including but not limited to psychosis, schizophrenia, or bipolar disorder without first consulting your psychiatrist.

•       Are currently experiencing a mental health crisis or have active suicidal ideation.

•       Have a neurological condition or disorder that may be affected by audio-based stimulation.

•       Are pregnant, unless your healthcare provider has confirmed it is safe to do so.

•       Have epilepsy or a known sensitivity to audio frequencies or binaural stimulation.

 

SomaLabs is not liable for any adverse effects, injuries, or outcomes arising from use of its protocols. Use is entirely at your own risk.

 

8. Limitation of Liability

To the fullest extent permitted by applicable law, SomaLabs, its directors, employees, agents, and affiliates shall not be liable for:

•       Any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use SomaLabs products.

•       Any personal injury, psychological distress, or adverse health outcome arising from your use of Protocol v1.0 or any SomaLabs product.

•       Any loss of data, loss of profits, or business interruption.

•       Any technical errors, interruptions to access, or failures of the Encrypted Module Synchronisation system beyond SomaLabs' reasonable control.

 

In all cases, SomaLabs' maximum aggregate liability to you shall not exceed the total amount paid by you for the specific product giving rise to the claim.

 

9. Privacy & Data Protection

SomaLabs collects and processes personal data in accordance with its Privacy Policy, available at somalabs.com/policies/privacy-policy. By purchasing from SomaLabs you consent to the collection and use of your data as described in the Privacy Policy.

 

SomaLabs does not sell your personal data to third parties. Data may be shared with trusted service providers (including Shopify, payment processors, and email delivery services) solely for the purpose of fulfilling your order and delivering Protocol v1.0.

 

10. User Conduct & Prohibited Activities

You agree not to use SomaLabs products, systems, or platforms to:

•       Violate any applicable law, regulation, or third-party right.

•       Attempt to circumvent, hack, or gain unauthorised access to SomaLabs' encrypted delivery infrastructure.

•       Share, redistribute, or resell SomaLabs content or your Base-44 Secure Key.

•       Misrepresent SomaLabs products as medical treatments or make false claims about their efficacy.

•       Use SomaLabs branding, trademarks, or content without prior written consent.

 

11. Termination of Access

SomaLabs reserves the right to suspend or revoke your access to Protocol v1.0 and any associated digital modules, with or without notice, if:

•       You breach any provision of these Terms & Conditions.

•       Your Base-44 Secure Key is found to be in use by more than one person.

•       SomaLabs reasonably believes that your use is fraudulent or harmful.

 

Termination of access does not entitle you to a refund. All provisions of this Agreement that by their nature should survive termination shall continue to apply.

 

12. Changes to These Terms

SomaLabs reserves the right to update or modify these Terms & Conditions at any time. Changes will be posted on the SomaLabs website with an updated effective date. Continued use of SomaLabs products following any change constitutes your acceptance of the revised terms. It is your responsibility to review these Terms periodically.

 

13. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

 

In the event of any dispute arising from or in connection with these Terms or your use of SomaLabs products, both parties agree to first attempt resolution through good-faith negotiation. If no resolution is reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

 

14. Entire Agreement & Severability

These Terms & Conditions, together with the SomaLabs Privacy Policy, constitute the entire agreement between you and SomaLabs with respect to your use of SomaLabs products and supersede all prior agreements or understandings.

 

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable. The remaining provisions shall continue in full force and effect.
